Position Summary
The Senior Contract Analyst oversees the contract management process and is responsible for advising on legal agreements to prevent breach of law and regulations, contractual disputes, and undue legal and compliance risks. In this position, the Senior Contract Analyst will serve as the primary liaison with staff across Tides entities, external partners, and other stakeholders to understand contract needs and priorities, and gain alignment based on Tides’ strategy and risk management approach.

This role will work within the Legal, Risk and Compliance (“LRC”) team on identification, escalation and resolution of contract review and revisions to reach mutual agreeable outcomes. The position will also work collaboratively with team members to support LRC’s process development and continuous improvement objectives, including creating and updating contract policies and procedures to handle a high volume of contracts efficiently and effectively.

Duties and Responsibilities
Manage contracts toward compliance consistent with organizational policies and risk management practices
Serve as a trusted adviser and create contracting strategies to best meet evolving organizational needs
Review, analyze, revise contractual and grant agreements for Tides entities and fiscally sponsored projects covering a variety of provisions, including sales, payment structures, professional and consulting services, partnership agreements, memoranda of agreements, non-disclosure agreements, tech contracts, and grants from government and private entities
Negotiate contract terms using clear communication, emotional intelligence, strategy, and influence
Interpret contract terms and conditions and ensure they comply with Tides policies and applicable laws and regulations, prevent potential disputes, and do not present undue legal risks
Draft terms of contractual agreements using language that is legally binding and in accordance with Tides’ goals
Identify and resolve compliance and risk issues presented by contractual and grant agreements
Partner with LRC team members on issues, including permissible 501c3 and 501c4 nonprofit activities, lobbying/political activity, fundraising, funding from government entities, election-related work, governmental investigations, funding from and activities with international entities, and high-risk activities potentially impacting insurance coverage
Proofread, edit, and fact-check legal documents for accuracy and consistency
Respond to inquiries from internal staff and external partners concerning existing contractual obligations, amendment of terms, and termination of contracts
Advise on contracting process and requirements to staff at Tides as well as external partners, including clearly explaining contractual terms, how to comply, and associated legal risks in simple, everyday language
Make recommendations and create, update, and document contract policies and processes to handle high-volume contract needs more efficiently
Provide accurate updates on contractual documents and templates as needed
Identify issues in agreements and work with colleagues specializing in legal, operational, and partner-supporting work.
Build trusting relationships with internal and external partners
Accountable for staying update to date and informed of changes to contract law
Perform other tasks related to contract review and execution, as needed

Advanced understanding of risk allocation and other contracting concepts and principles
Knowledge of current and legally binding contractual language and terminology
Familiarity with legal frameworks governing organizations exempt from taxation under Section 501(c)(3) of the Internal Revenue Code preferred
Experience reviewing and advising on funding/grant agreements preferred
Familiarity with government contracts and/or grant agreements a plus
Demonstrated professionalism, including high-level and consistent work ethic, and strong interpersonal and written and verbal communication skills to collaborate internally and with external partners
Meticulous attention to detail, with ability to understand and appreciate and integrate larger goals and objectives

Qualifications and Prior Experience
Juris Doctor preferred. Bachelor’s Degree or equivalent years of related work experience can be substituted
With Juris Doctor: 3+ years of experience of contracts management experience for a law firm or in-house legal department
Without Juris Doctor: 6+ years of same experience
Experience in corporate law, contracts and transactional law, and securities / mission-related investing required
Knowledge of local and national contract law
