Zendesk has built a world-class legal team and is looking for a Counsel to join our agile corporate group. You will help continue to build and adapt our M&A, strategic investment, and corporate governance program to address the evolving challenges our customers, employees, stockholders, and community face. No two days are the same.

This role reports to the Associate General Counsel who leads governance, public securities filings, and strategic transactions for the Legal team.

Duties and Responsibilities
– Handle M&A, strategic investments, debt transactions, and other strategic transactions, including assisting in drafting LOIs, standardizing due diligence execution across teams, assisting in drafting and negotiating deal agreements, managing outside counsels as needed, and coordinating post-close matters
– Advise our real estate team to help execute our global leasing strategy, including reviewing, negotiating, and closing complex lease transactions, particularly as we adapt to a new remote-first world
– Assist with the preparation for board and committee meetings and the planning of the annual meeting of stockholders, including working with the office of the CEO in preparing Board updates, assisting initiatives in improving governance, and assisting in the preparation of proxy statements and related filings
– Assist in reports required by and ensuring compliance with the Securities and Exchange Act of 1934 (e.g. Forms 10-Q, 10-K) and the New York Stock Exchange listing requirements
– Engage directly with executives across the company to understand company priorities and goals, trends in our business, and other issues facing our employees and business
– Assist our investor relations team in reviewing and contributing to our quarterly letter to shareholders, analyze our public metrics generated by our analytics teams, and analyze investor communications for compliance with securities laws
– Assist as needed in our global corporate governance for Zendesk subsidiaries outside of the United States
– Assist with our stock administration team in equity administration and Section 16 reporting
– Lead and supervise other special or miscellaneous projects as needed
Skills and Competencies
– A J.D. from an accredited law school
– Admission in good standing to practice in your jurisdiction
– 6+ years of experience in M&A, investments, securities law, and other aspects of general corporate law
– Ability to negotiate and balance legal constraints with business goals
– Outstanding interpersonal skills with a strong attention to detail with an ability to provide clear explanations to members of other teams, including senior management
– Results-oriented attitude, excellent decision-making, and ability to prioritize the highest impact initiatives
– Mentality that no task is too big or too small
– Ability to seek feedback when needed and opportunities to grow
– A collaborative, upbeat work ethic where you can take ownership and have fun
– Highly organized, proactive, and motivated to follow through on projects
