Position Summary
The Corporate Senior Legal Counsel for Human Resources provides legal counsel to the Bank’s Human Resources Department. The Sr Counsel works with the business units to ensure compliance with employment-related statutory and regulatory requirements; develops employment related policies and procedures; responds to administrative claims; drafts and negotiates employment-related agreements, provides counseling on day-to-day employee relations issues; and manages outside counsel representing the Bank in employment-related litigation.
Duties and Responsibilities
• Provides legal advice to the Human Resources Department, Bank management and business executives on day- to-day employee-related issues, including employee recruiting, background checks, hiring, training, job classification (exempt vs. non-exempt), compensation, workplace investigations, business restructuring, and employee discipline, including termination.
• Prepares and reviews employee-related agreements, including compensation plans and separation agreements.
• Provides legal advice in developing employee policies and employment law training materials.
• Conducts audits of Human Resources policies and practices, assesses legal compliance, and plans corrective action as appropriate.
• Handles the defense of employment-related claims at the pre-litigation and/or agency level.
• Provides legal support to the Human Resources Department in the management of workers’ compensation claims.
• Assists in retaining and managing outside counsel handling employment-related litigation; actively manages and oversees both budget and work product; provides direction and strategy to outside counsel.
• Keeps informed of employment-related legislative proposals and legal developments. Studies proposed and existing legislation affecting the Bank, and counsels management regarding impact.
• Collaborates with other members of the Legal Department regarding employment-related issues.
• Provides recommendations to management to improve overall quality and efficiency of day-to-day operations.

Qualifications and Prior Experience
• 10 – 12 years minimum prior relevant experience.
• 8+ years legal practice with a law firm and/or financial institution legal department strongly preferred.
• Employment law experience required
• Master’s Degree – Juris Doctorate from an accredited top law school required
• California State Bar – required member of the CA State Bar or otherwise qualified to practice law in California as house counsel.
