Position Overview:

You will report into StepStone’s Chief Legal Officer and will engage in a broad range of general corporate, securities law, and labor & employment-related matters as well as litigation management.

Essential Job Functions:

You will work with senior management as well as the corporate finance, accounting, tax, compliance and human resources teams to advise on a range of matters, including U.S. Securities Exchange Act reporting and compliance, corporate governance, general corporate transactions, commercial agreements, labor & employment-related matters, and litigation management, including:

– U.S. Securities and Exchange Act reporting
– Public company compliance-related matters
– Board of directors and committee matters
– Investor relations and corporate communications
– Securities issuances and other corporate finance transactions
– Corporate development and mergers & acquisitions
– Drafting and negotiation of a range of commercial agreements
– Advice and counsel relating to employment contracts and labor & employment-related matters
– Management of litigation matters and disputes

– Four-year college degree and law degree from a top-tier U.S. law school
– Approximately 4 to7 years of large law firm and in-house legal experience
– Familiarity with securities laws and regulations
– Experience counseling public companies with respect to public company reporting and corporate governance matters
– Broad-based corporate law experience, preferably including within an in-house environment
