Position Summary:

Experienced paralegal with corporate and transactional experience, supporting the Corporate and Transactional Legal Group (“CTLG”).

Completes work with guidance from manager and supports other attorneys within the CTLG.

Participates in departmental or other special projects, as needed.

CORPORATE AND TRANSACTIONAL RESPONSIBILITIES:

Drafting board and shareholder consents, resolutions and certificates for US Roche and Genentech entities.

Drafting basic incorporation, merger, dissolution, stock certificates and other routine corporate documents as needed for US Roche and Genentech entities.

Maintaining corporate records, minute books, entity fact sheets and corporate entity organizational charts for US Roche and Genentech entities, and assisting in digitizing such records.

Supporting transactional attorneys in a wide variety of transactions, including equity investments, merger and acquisition transactions, and licensing and collaboration transactions.

Formatting, revising and proofing complex commercial agreements, including checking cross-references, citations and definitions.

Finalizing and coordinating execution of agreements.

Acting as a key point-of-contact for internal and external inquiries regarding matters pertaining to corporate governance for US Roche and Genentech entities.

Acting as a key point-of-contact to outside service providers regarding annual business filings and reports for US Roche’s and Genentech’s various entities, and legalization (notarization, apostille, attestation, etc.) of documents as needed.

Preparing initial drafts of basic agreements, including confidentiality agreements, assignment agreements, and powers of attorney.

Assisting in responses to FINRA requests and investigations.

Assisting in unclaimed property claims and submittals.

Contributing to cross-functional or departmental projects to improve processes relating to corporate and transactional matters.

Maintaining data in spreadsheets.

Organizing and maintaining physical and electronic records.

Meeting planning and coordination (scheduling, preparing and circulating agendas, ordering catering, etc.).

Ability to learn and utilize new technologies and tools (i.e. Litera, Trello, document management systems).

Qualifications and Prior Experience:

Bachelor’s degree or equivalent education.

Paralegal certificate.

7 or more years of paralegal experience, preferably in a transactional practice, involving mergers and acquisitions, equity financing and/or biotech/pharmaceutical transactions, as well as handling corporate governance matters.

Law-firm experience at a top law firm is preferred.

Biotech/pharmaceutical industry experience is a plus.
