Position Summary
The Corporate Legal Counsel for Real Estate is responsible for providing legal counsel to the Corporate Real Estate Group, which is charged with the management of the Bank’s real estate properties. The Corporate Counsel will also provide legal support to business units that are primarily responsible for commercial real estate lending activities.
Duties and Responsibilities
• Provides legal advice on legal transactions involving Bank-owned real estate, including leasing, acquisitions and dispositions.
• Provides legal advice related to real estate lending activities collateralized by commercial real estate.
• Prepares or reviews various contracts, leases, loan documentation, formal agreements and any other transactional documentation related to real estate activities.
• Retains and manages outside counsel as warranted; actively manages and oversees both budget and work product; provides direction and strategy to outside counsel.
• Keeps informed of legislative proposals, which would specifically affect Bank real estate transactions. Studies proposed and existing legislation affecting the Bank and counsels management regarding impact.
• Collaborates with other members of the Legal Department, such as the Bank regulatory counsel regarding permissible holdings by the Bank and Bank litigation counsel on issues, which may be pre-litigation.
• Provides suggestions to management to improve overall quality and efficiency of day-to-day operations.

Qualifications and Prior Experience
• Commercial real estate transactions experience, including acquisitions, dispositions, leasing and financing
• 6+ years’ experience with law firm and/or large financial institution legal department strongly preferred
• Requires 10 years minimum prior relevant experience
• Master’s Degree – Juris Doctorate from an accredited law school
• California State Bar; Nebraska State Bar; other otherwise qualified to practice law in California or Nebraska as in-house counsel
