HR Legal Search has been retained by a visionary client in search of a Chief Legal and Compliance Officer (CLCO). Our client is a non-profit with an inspiring mission to foster community and transform lives. This position is fully remote.

Position Summary

The CLCO leads strategic initiatives, navigating risk management, legal challenges, and compliance issues to drive the organization’s success and innovation. This role involves advising the Board of Directors and executive teams on legal strategies and risk management. Additionally, the CLCO supports Board management alongside the CEO and Chief of Staff, ensuring proper oversight and recordkeeping.

Duties and Responsibilities

– Oversee Legal Affairs, Compliance, and Risk Management.
– Provide strategic advice and support to the Board of Directors and senior leadership.
– Oversee the organizational resilience program, including crisis management, enterprise risk management, risk mitigation working group, and safety and security programs.
– Manage the compliance and insurance programs.
– Oversee internal and external investigations.
– Collaborate with the Chief People Officer on employment law issues.
– Serve as the Network’s Assistant Corporate Secretary and its affiliates’ Corporate Secretary.
– Serve as a liaison to the Audit and Risk and Nominating and Governance Committees.
– Lead and motivate high-performing legal and compliance teams.
– Manage outside counsel and consultants.
– Manage corporate records.

Skills and Competencies

– Comprehensive knowledge of nonprofit governance and nonprofit tax laws is preferred.
– A lawyer who loves lawyering.

Qualifications and Prior Experience 

– California Law License.
– Previous Chief Legal & Compliance Officer or General Counsel experience preferred.
– At least 10 years of practice experience.
